These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and LerBee, Inc., doing business as LerBee (the "Company", "LerBee", "we", "us", or "our"), including its affiliated companies and the shareholders, directors, officers, employees, consultants, contractors, subcontractors, agents, advisors, assignees and successors, concerning your access to and use of the https://lerbee.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). We are registered in Delaware, United States and have our registered office at 919 North Market Street, Suite 950, Wilmington, DE 19801.
The Site provides an online platform through which personal shopper services are provided in order to facilitate remote selection and purchase of goods (the "Shopper Services"). You agree that by accessing the Site and/or the Shopper Services, you have read, understood, and agree to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND/OR THE SHOPPER SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time. We will alert you about any changes by updating the "Last updated" date of these Terms of Use. You will be subject to, and will be deemed to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.
The Site is intended for users who are at least 18 years old. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site.
Unless otherwise indicated, the Site and the Shopper Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions.
Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.
By using the Site or the Shopper Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site or the Shopper Services through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site or the Shopper Services will not violate any applicable law or regulation.
Among unauthorized Shopper Services are the following: selling and/or purchasing intoxicants of any sort; illegal drugs or other illegal products; alcoholic beverages; games of chance; and pornography or graphic adult content. Postings of any unauthorized products or content may result in immediate termination of your account and a lifetime ban from use of the Site.
You may be required to register with the Site in order to access the Shopper Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
We accept the following forms of payment: Visa, Mastercard. You agree to provide current, complete, and accurate purchase and account information for all purchases of the Shopper Services made via the Site. All payments shall be in U.S. dollars. We reserve the right to refuse any order placed through the Site.
The price displayed at checkout is the total amount you will be charged for the item, inclusive of all applicable service fees, Shopper fees, and payment processing fees. Shipping and delivery costs are not included in the item price and are calculated and paid separately at the time of shipping arrangement. No additional charges beyond the displayed item price and agreed shipping costs will be applied.
All sales are final and no refund will be issued. LerBee operates on an international marketplace model where Shoppers purchase items from physical retail stores on behalf of Buyers. The majority of items purchased are sold by retailers on a final-sale basis and cannot be returned to the original store. Accordingly, all purchases made through the LerBee platform are non-refundable. This does not affect your statutory rights under applicable law, including any rights you may have under your local consumer protection laws. You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:
The Site may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality. When you create or make available any Contributions, you represent and warrant that your Contributions are not false, inaccurate, or misleading; are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable; and do not violate any applicable law, regulation, or rule.
By posting your Contributions to any part of the Site, you automatically grant to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions for any purpose, commercial, advertising, or otherwise.
If you access the Shopper Services via a mobile application, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, strictly in accordance with the terms and conditions of this mobile application license. You shall not decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application.
The following terms apply when you use a mobile application obtained from either the Apple Store or Google Play: the license granted to you is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems; we are responsible for providing any maintenance and support services with respect to the mobile application as specified in these Terms of Use.
As part of the functionality of the Site, you may be able to link your account with online accounts you have with third-party service providers (each such account, a "Third-Party Account"). By granting us access to any Third-Party Accounts, you understand that we may access, make available, and store any content that you have provided to and stored in your Third-Party Account so that it is available on and through the Site via your account.
The Site may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties. Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Websites accessed through the Site.
We care about data privacy and security. Please review our Privacy Policy at https://docs.lerbee.us/privacy-policy/html. By using the Site or the Shopper Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Use.
These Terms of Use shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE AND THE SHOPPER SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION.
These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware, without regard to its conflict of law principles.
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each "Dispute"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitration will take place in Santa Clara, California. The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually — no class-action arbitration is permitted.
THE SITE AND THE SHOPPER SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND THE SHOPPER SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR THE SHOPPER SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Shopper Services; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; or (5) your violation of the rights of a third party.
LerBee and its Shoppers make reasonable efforts to ship purchased items promptly. In the event of a shipping delay beyond the timeframe communicated at the time of purchase, we will notify you via the LerBee platform or email. You may have the right to cancel your order if a shipping delay occurs, subject to the final-sale policy described above. Please contact support@lerbee.com if you have not received shipping confirmation within a reasonable time after payment.
After your order is confirmed and purchased by a Shopper, your item will be held for a free storage period of 90 days (3 months) from the date of purchase confirmation.
During this period, you must arrange and pay for shipping to receive your item. After the 90-day free storage period expires:
LerBee is not responsible for any loss or disposal of goods resulting from failure to arrange delivery within the free storage period. It is your responsibility to coordinate timely shipment of purchased items.
LerBee offers a referral program available to all registered users of the platform:
LerBee reserves the right to withhold rewards and/or suspend referral privileges in case of fraudulent, abusive, or suspicious activity. Bonuses may be revoked in case of self-referral, order cancellation, or misuse.
LerBee acts as an intermediary platform connecting Buyers and Shoppers. All transactions, deliveries, and product quality are the responsibility of the Shopper. Disputes must be resolved between the Buyer and the Shopper. LerBee may intervene only if parties cannot resolve the issue independently. Shoppers are required to provide video documentation of packaged goods. If not provided, LerBee may refund the Buyer from the Shopper's balance.
